Terms of Service
Version 0.1 · Last updated July 6, 2026. This document is pending final review by qualified legal counsel before public launch. It reflects Niyyah Market’s current policies in full and is not a placeholder; the version number above matches the accepted Terms version recorded on your account.
1. Acceptance of Terms
By creating an account, completing onboarding, or otherwise using Niyyah Market (the “Platform”), you agree to these Terms of Service (“Terms”) and to our Privacy Policy. If you do not agree, do not use the Platform. During onboarding you must explicitly accept these Terms; we record which version you accepted and when.
2. Eligibility & Accounts
- You must be of legal age in your jurisdiction and able to form a binding contract.
- Sign-in and identity are managed by our authentication provider, Clerk. You are responsible for safeguarding your credentials and for activity under your account.
- At onboarding you provide a display name, country, preferred language, and gender. Gender is collected solely to enforce the gender-separation policy for religious-knowledge classes described in Section 6, and is not used for any other purpose.
- You may separately enable a seller role and/or a teacher role; each carries the additional obligations described in Section 5.
- One account per person. Impersonation, fraudulent accounts, and evading a suspension or ban by creating another account are prohibited.
3. Our Role: Wakalah, Escrow & No Riba
Niyyah Market does not buy, sell, or take ownership of items, courses, or live-class seats listed on the Platform — independent sellers and teachers do. When a buyer pays for an order or booking, Niyyah Market receives and holds those funds as the buyer’s wakil (agent) under a Wakalah arrangement, not as a lender, insurer, or party to the underlying sale.
While funds are held in escrow:
- They are never lent out, invested, or otherwise put to use by Niyyah Market, and they earn no interest (riba) for Niyyah Market, the seller, or the buyer.
- Niyyah Market does not sell any paid “buyer protection” insurance product. Escrow protection is part of the wakalah arrangement itself, included at no separate charge — it is not a paid indemnity or insurance policy, which would introduce impermissible gharar (excessive uncertainty) and riba-adjacent structures.
- Funds are released to the seller, minus the platform fee, once the buyer confirms receipt, or automatically a set number of days after delivery is marked complete if the buyer does not respond (currently 3 days), whichever comes first — or redirected to a refund if a dispute is resolved in the buyer’s favor.
- Niyyah Market’s current standard commission is 5% of the order subtotal (2.5% for sellers subscribed to Niyyah Market Pro). This is a flat service fee for operating the marketplace, not interest, and does not change based on how long funds are held.
Payment processing, escrow holding, and seller payouts are executed through Stripe (including Stripe Connect for seller payouts). Niyyah Market does not store your full card or bank account numbers.
4. Banned Categories & Sharia Compliance
Listings, courses, and live classes must comply with our Sharia-compliance policy. The following are never permitted:
- Alcohol
- Pork-derived products
- Gambling or games of chance (maisir)
- Riba-based financial products (interest-bearing loans, credit products, and similar)
- Idols, statues, or other imagery associated with shirk
- Suggestive or immodest content
Musical instruments are currently restricted under a configurable scholarly-opinion policy and may be limited or unavailable depending on the category settings in effect at the time.
This list is maintained as platform policy and may be updated without amending these Terms; the current policy controls at all times. Listings or content that violate it will be removed and may result in suspension.
5. Seller Obligations & Payouts
If you enable the seller role, you agree to:
- List items accurately (condition, description, images) and only in permitted categories.
- Ship promptly and provide valid tracking information. Supported carriers are currently USPS, UPS, FedEx, and DHL.
- Complete Stripe Connect onboarding (identity verification and payout details) before publishing listings, courses, or live classes — publishing is blocked until your account can accept payouts.
- Respond to buyer disputes in good faith and provide evidence when requested.
- Honor the escrow and refund process described in these Terms rather than requesting payment outside the Platform.
- If you teach religious-knowledge subjects, maintain accurate ijaza / teaching-credential verification where requested. Niyyah Market may review and reject verifications that cannot be substantiated.
Sellers and teachers are independent parties, not employees or agents of Niyyah Market (except with respect to Niyyah Market’s role as escrow wakil described in Section 3). Niyyah Market is not a party to the underlying sale between buyer and seller.
6. Religious-Knowledge Classes & Gender Separation
Courses and live classes in religious-knowledge categories (currently: Quran, fiqh, aqeedah, tafsir, hadith, sirah, and tazkiyah) follow a gender-separation policy:
- Live religious classes: students may only book sessions taught by a teacher of the same gender.
- Recorded religious classes: access may be restricted based on the teacher’s and viewer’s gender, consistent with Islamic guidance on modesty.
- Non-religious content: open to all users regardless of gender.
Gender is recorded once at onboarding (Section 2) and used to enforce this policy; attempting to circumvent it — for example, through a false gender declaration or a second account — is prohibited conduct under Section 8.
Live sessions that overlap a calculated prayer time are flagged to the teacher when scheduling; depending on current policy this may be a warning or may block scheduling entirely.
7. Orders, Refunds & Disputes
- Before an order ships, buyers may self-serve a cancellation and refund.
- Once an order has shipped, a refund can only be requested by opening a dispute (reason categories include item not received, not as described, damaged, wrong item, or counterfeit). The seller may reply with evidence; Niyyah Market reviews unresolved disputes and decides to release funds to the seller or refund the buyer.
- Digital goods and course/class purchases may be refunded within a limited window after purchase (currently 7 days) per our refund policy, subject to use-based limits — for example, a live class already attended or a course substantially completed may not qualify.
- Filing fraudulent disputes or chargebacks outside this process is prohibited conduct and may result in suspension.
8. Prohibited Conduct
You agree not to:
- List or promote banned-category items or services (Section 4).
- Circumvent the gender-separation policy (Section 6) or any other Sharia-compliance control.
- Harass, defraud, or discriminate against other users.
- Post modesty-violating images. Uploaded images may be automatically scanned and flagged, and repeated or severe violations may result in automatic hiding of content and account suspension.
- File false reports, fraudulent disputes, or chargebacks.
- Attempt to circumvent the Platform’s payment or escrow flow, such as soliciting off-platform payment to avoid fees or buyer/seller protections.
- Create multiple accounts to evade a ban, suspension, or the gender-separation policy.
- Scrape, reverse-engineer, or interfere with the Platform’s operation or security.
Violations may result in content removal, listing suspension, account suspension (currently up to 7 days for a first-tier violation), or a permanent ban, at Niyyah Market’s discretion, in addition to any other remedy available.
Users may report listings, other users, reviews, courses, live classes, or teacher verifications that appear to violate these Terms. Niyyah Market may act on reports, remove content, or take other moderation action.
9. Intellectual Property
Sellers and teachers retain ownership of the content they upload (listing photos, course videos, live-class materials) and grant Niyyah Market a limited license to host, stream, and display that content in order to operate the Platform. The Niyyah Market name, logo, and platform software are the property of Niyyah Market and may not be used without permission.
10. Disclaimers & Limitation of Liability
The Platform is provided on an “as is” and “as available” basis. Niyyah Market acts as an intermediary and, with respect to escrowed funds, as wakil — Niyyah Market is not the seller, teacher, or manufacturer of any item, course, or class, and does not guarantee the accuracy of listings, the compliance determinations of scholars relied upon, or the conduct of any user. To the maximum extent permitted by law, Niyyah Market disclaims all warranties, and Niyyah Market’s aggregate liability for any claim arising from your use of the Platform will be capped at an amount to be specified by counsel prior to launch. Niyyah Market is not liable for outages or failures of third-party providers it relies on (including Clerk, Stripe, Mux, LiveKit, Resend, Meilisearch, and Cloudflare) that are beyond its reasonable control.
11. Termination
You may close your account at any time. Niyyah Market may suspend or terminate your access for violating these Terms, non-payment, fraud or suspected fraud, or as required by law. Escrowed funds tied to open orders at termination are handled per Sections 3 and 7 (released or refunded through the ordinary process) and are not forfeited.
12. Changes to These Terms
Niyyah Market may update these Terms from time to time. If a change is material, we will provide notice (for example, in-app or by email) and update the version number above; continued use of the Platform after an update constitutes acceptance. The version you accepted is recorded on your account.
13. Governing Law
Governing law and venue for these Terms are to be finalized with qualified counsel before public launch and will be inserted here. No governing law is currently designated.
